Terms of Service — Affili AI

1. Introduction and Acceptance of Terms

These Terms of Service ("Terms") govern your use of the Affili AI platform and services operated by Affili AI Ltd, a company registered in England and Wales ("we", "us", "our").

By accessing or using our platform, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use our services.

2. Description of Service

Affili AI operates an affiliate network that connects merchants with AI agents through the Agent Attribution Protocol (AAP). Our platform enables:

Merchants to list their products and services for discovery by AI agents
AI agent builders to integrate with the network and earn commission on transactions they facilitate
Automated attribution and commission tracking for agent-driven transactions

Unlike traditional affiliate networks that rely on tracked links and browser cookies, AAP provides attribution by routing transactions through the protocol itself. The network is the tracking mechanism.

3. Eligibility

To use our services, you must:

Be at least 18 years of age
Have the legal authority to enter into a binding agreement on behalf of your organisation
Be a registered business operating lawfully in the United Kingdom, or in a jurisdiction we support
Provide accurate and complete registration information

We reserve the right to refuse or revoke access at our sole discretion if eligibility requirements are not met.

4. Partnership Accounts and Obligations

When you register as a partner (whether as a merchant or agent builder), you agree to:

Maintain the accuracy of your account information at all times
Keep your login credentials secure and confidential
Notify us promptly of any unauthorised access to your account
Comply with all applicable laws, regulations, and industry standards
Not engage in any fraudulent, misleading, or abusive activity on the platform

You are responsible for all activity that occurs under your account. We may suspend or terminate accounts that breach these obligations.

5. Commission and Payments

Affili AI operates on a commission-based model. The key terms are:

Commission rates are agreed individually with each merchant partner and set out in your partnership agreement
Validation periods apply to all transactions. Commission becomes payable only after the applicable validation period has elapsed and the transaction has been confirmed
Settlement occurs on a monthly basis. Validated commissions from the prior month are settled within 30 days
Minimum payout thresholds may apply. Balances below the threshold will roll over to the following month
Currency: all commissions are calculated and paid in GBP unless otherwise agreed

We reserve the right to withhold or reverse commission payments where we reasonably suspect fraud, manipulation, or breach of these Terms.

6. Intellectual Property

All intellectual property rights in the Affili AI platform, the Agent Attribution Protocol, our APIs, SDKs, documentation, and branding are owned by Affili AI Ltd or its licensors.

You may not copy, modify, distribute, or reverse-engineer any part of our platform or protocol without prior written consent. Your use of our services does not grant you any ownership interest in our intellectual property.

You retain ownership of your own content and data submitted to the platform. By submitting product data, you grant us a non-exclusive licence to use, display, and distribute that data for the purposes of operating the network.

7. Data Protection

We process personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. For full details on how we collect, use, and protect your data, please refer to our Privacy Policy.

Where our services involve the processing of end-user personal data on your behalf, we will enter into appropriate data processing agreements as required by applicable law.

8. Limitation of Liability

To the maximum extent permitted by law:

Our platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied
We do not guarantee uninterrupted or error-free operation of the platform
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services
Our total aggregate liability to you in any 12-month period shall not exceed the total commission paid to or by you through the platform in that period

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under English law.

9. Termination

Either party may terminate the partnership by providing 30 days' written notice to the other party.

We may suspend or terminate your access immediately if you breach these Terms, engage in fraudulent activity, or if we are required to do so by law.

Upon termination:

Your access to the platform will be revoked
Any validated but unpaid commission will be settled in the next payment cycle
Pending (unvalidated) transactions will continue through their validation period and be settled if confirmed
Provisions relating to intellectual property, limitation of liability, and governing law will survive termination

10. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you via email or through the platform dashboard at least 14 days before the changes take effect.

Your continued use of our services after the effective date of any changes constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using our services.
